December 30, 2011: Fengshen Tyre held the first provisional shareholders meeting of 2011. Attendees included shareholders and six shareholders representatives. These six individuals represent 178,922,317 equity shares of the company’s total of 374,942,148 shares (47.72%). The company’s fourth generation of directors, supervisors, executives, and lawyers bore witness to the selection of their fifth generation counterparts. The meeting was convened by the Board of Directors, chaired by the meeting’s chairman, Cao Chaoyang. In accordance with the agenda for this general meeting of shareholders, participants considered matters from the ‘general motion of the Board of Directors’ and ‘general motions of the board of supervisors’ ect. After consideration, the company elected the new board of directors, board of supervisors. The new Board consists of Cao Chaoyang, Wang Feng, Zheng Li, Wu Wenkui, and a new independent directors Jing, Fan Rende, Xiao Zhixing and 7 other members; three new board of supervisors, Zhang Xiaoxin, Qi Chun, and Ma Baoquen, and the previous staff representatives from the head of the Joint Committee.
In the subsequent meeting, the fifth generation Board of Directors elected Cao Chaoyang as Chairman and Wang Feng as vice Chairman. Nominated by the Chairman, the Board of Directors appointed Wang Feng as the general manager and Fa Qianghan as the secretary of the Board of Directors (Vice President level); Pingyao Ling, Shen Hongliang, Guo Chun, and Shen Yusheng as deputy general managers; Pingyao Ling (Chef) as the chief engineer, and Guo Chun as the Chief Financial Officer (Chief). The meeting also selected a Board Strategy Committee, Audit Committee, Nomination Committee, and Remuneration Committee.
Also, the Supervisory Board elected the new fifth generation company Chairman, Zhang Xiaoxin. |
